01 About StockYan & Company Information

StockYan is a mobile application developed and operated by Investo Nepal Pvt. Ltd., a company registered under the laws of Nepal (Registration No. 379279).

StockYan is a financial data analytics and market intelligence platform designed specifically for Nepal Stock Exchange (NEPSE) participants. The application provides users with stock screening tools, technical analysis indicators, broker floorsheet analysis, market data visualizations, portfolio tracking capabilities, and related financial information services.

02 Acceptance of Terms

By accessing or using the StockYan application (the "App"), you ("User", "you", or "your") agree to these Terms and Conditions ("Terms"), our Privacy Policy, and any additional guidelines or policies referenced herein. These Terms constitute a legally binding agreement between you and Investo Nepal Pvt. Ltd. ("Company", "we", "us", or "our").

03 Educational Purpose & No Financial Advice

3.1 Nature of Information

StockYan presents technical analysis tools, historical market data, broker transaction data from NEPSE floorsheets, fundamental company data, and pattern recognition outputs. All such information is provided solely to help users understand and analyze the Nepal share market for educational purposes.

3.2 No Solicitation

Nothing on StockYan constitutes a solicitation, recommendation, endorsement, or offer to buy, sell, or hold any security listed on NEPSE or any other financial instrument.

3.3 No Certified Advice

Investo Nepal Pvt. Ltd. and its team members, content creators, developers, and associates are not licensed investment advisors, brokers, or financial planners regulated by the Securities Board of Nepal (SEBON) or Nepal Rastra Bank (NRB). No content in the App should be interpreted as advice from a SEBON-registered investment advisor.

04 User's Sole Responsibility for Investment Decisions

Users acknowledge and agree that:

• Share market investments are subject to market risk, and the value of investments may rise or fall.
• Past performance, historical data, or technical patterns shown in StockYan do not guarantee future results.
• You have conducted your own independent research before making any buy or sell decision.
• You bear full and sole responsibility for any financial gain or loss resulting from your investment decisions.
• The Company shall not be held liable for any trading losses, missed opportunities, or financial damages arising from your use of StockYan.

05 No Refund Policy

5.1 Subscription Payments

StockYan offers subscription-based premium plans that grant access to advanced features, scanning tools, broker intelligence data, and exclusive content. All subscription fees are charged in advance for the selected subscription period.

5.2 Non-Refundable Circumstances

Payments are non-refundable under all circumstances, including but not limited to:

• You change your mind after subscribing or purchasing a plan.
• You did not use the premium features during your active subscription period.
• Your device is lost, stolen, damaged, or replaced.
• You experience technical difficulties due to your own device, internet connection, or operating system.
• You were unaware of the full feature set at the time of purchase.
• Dissatisfaction with market outcomes or investment results.
• Account suspension or termination resulting from violation of these Terms.

06 Accuracy of Data & Market Information

StockYan retrieves and displays market data, floorsheet information, company fundamentals, and other financial data from publicly available sources and data providers. While we make reasonable efforts to ensure accuracy:

• We do not guarantee the accuracy, completeness, timeliness, or reliability of any data displayed in the App.
• Market data may be delayed, incomplete, or subject to errors from source providers.
• Technical indicators, scanner outputs, and signals are algorithmic computations that may contain errors.
• Broker analysis and floorsheet data are presented as-is from NEPSE sources and may not reflect real-time or complete transactions.

Users should always verify critical information independently through official sources including NEPSE, SEBON, and licensed brokerage firms before making any investment decision.

07 User Account & Security

7.1 Account Registration

To access certain features of StockYan, you may be required to create an account by providing your name, phone number, email address, and other relevant information. You agree to provide accurate, current, and complete information during registration.

7.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@stockyan.com if you suspect any unauthorized access to your account. The Company shall not be liable for any loss or damage arising from your failure to maintain account security.

7.3 One Account Per User

Each StockYan account is for individual use only. Sharing your account credentials with third parties is strictly prohibited. Subscription benefits are non-transferable and linked to the registered account only.

08 Prohibited Conduct

By using StockYan, you agree NOT to:

• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the App.
• Reproduce, redistribute, resell, or commercially exploit any data, content, or features from StockYan without written permission.
• Use automated bots, scrapers, or scripts to extract data from the App.
• Attempt to gain unauthorized access to our servers, databases, or any connected systems.
• Use StockYan to spread false, misleading, or manipulative market information.
• Violate any applicable laws of Nepal, including the Securities Act, Electronic Transaction Act, or any SEBON regulations.
• Impersonate any person or entity, or misrepresent your affiliation with any person or organization.
• Upload or transmit any malicious code, viruses, or harmful software through the App.

09 Intellectual Property Rights

All content within StockYan, including but not limited to the application name, logo, user interface design, algorithms, screener logic, broker analysis methodologies, written content, graphics, and software code, is the exclusive intellectual property of Investo Nepal Pvt. Ltd. and is protected under applicable intellectual property laws of Nepal.

You are granted a limited, non-exclusive, non-transferable, revocable license to use StockYan for personal, non-commercial purposes in accordance with these Terms. No rights or licenses are granted beyond what is expressly stated herein.

10 Third-Party Links & Services

StockYan may contain links or integrations with third-party websites, services, or data sources (including but not limited to NEPSE, financial news portals, and payment processors). These third-party services are governed by their own terms and privacy policies. The Company does not endorse, control, or accept responsibility for any third-party services or content.

11 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INVESTO NEPAL PVT. LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, OR BUSINESS INTERRUPTION ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF STOCKYAN OR ITS CONTENT.

This limitation applies regardless of whether such damages are based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not the Company has been advised of the possibility of such damages.

12 Indemnification

You agree to indemnify, defend, and hold harmless Investo Nepal Pvt. Ltd., its directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms and Conditions.
• Your use of StockYan in any manner that causes harm to any third party.
• Any investment decisions made based on information from StockYan.
• Your violation of any applicable law or regulation.

13 Privacy Policy

Your use of StockYan is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and protect your personal information. By using the App, you consent to the collection and use of your data as described in the Privacy Policy.

We are committed to protecting your privacy and will never sell your personal data to third parties. Data collected is used solely for the purpose of providing and improving our services.

14 Modifications to the App & Terms

14.1 App Changes

Investo Nepal Pvt. Ltd. reserves the right to modify, suspend, or discontinue any feature, function, or aspect of StockYan at any time, with or without notice. The Company shall not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

14.2 Terms Updates

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or service offerings. When material changes are made, we will notify you through the App or via registered email. Your continued use of StockYan after the effective date of any changes constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

15 Termination

The Company reserves the right to suspend or terminate your access to StockYan, with or without notice, for any reason, including but not limited to:

• Violation of any provision of these Terms.
• Engaging in fraudulent, abusive, or illegal activities.
• Non-payment of applicable subscription fees.
• Actions that harm or may harm the Company, other users, or third parties.

Upon termination, your right to use the App will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

16 Governing Law & Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of Nepal. Any dispute, controversy, or claim arising out of or relating to these Terms or your use of StockYan shall be subject to the exclusive jurisdiction of the competent courts of Bagmati Province, Nepal.

Prior to initiating any legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at stockyaninfo@gmail.com. We will make reasonable efforts to resolve disputes within 30 days of receiving written notice.

17 Regulatory Compliance

StockYan operates in compliance with applicable laws and regulations of Nepal, including:

• Securities Act, 2063 (2007) of Nepal
• Securities Exchange Act, 2040 (1983) of Nepal
• Electronic Transaction Act, 2063 (2008) of Nepal
• Individual Privacy Act, 2075 (2018) of Nepal
• Directives and regulations issued by SEBON (Securities Board of Nepal)

Users are responsible for complying with all applicable laws and regulations in their jurisdiction when using StockYan and making investment decisions.

18 Severability & Entire Agreement

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Investo Nepal Pvt. Ltd. with respect to your use of StockYan and supersede all prior agreements, understandings, or representations.
